Ambassador Program Terms and Conditions

1. Acceptance of Terms:

By signing up for the Prime Sciences LLC Ambassador Program ("Program"), you ("Ambassador") agree to be bound by these Terms and Conditions ("Agreement"). Please read them carefully.

2. Program Participation:

  • Ambassador status is subject to approval by Prime Sciences LLC.
  • Ambassadors will be provided with a unique ambassador code.
  • Ambassadors are responsible for promoting the products offered on prime-sciences.com.

3. Product Disclaimer:

  • Ambassador acknowledges and agrees that all peptide products offered on prime-sciences.com are strictly for research purposes only.
  • These products are not for human consumption.
  • Ambassador agrees to communicate this disclaimer clearly and prominently in all promotional materials.
  • Ambassador assumes all responsibility for ensuring that their customers are aware of this disclaimer.
  • Ambassador agrees to not make any medical claims regarding the products.

4. Customer Discount and Minimum Purchase:

  • Customers using the Ambassador's unique code will receive a 20% discount on their purchase.
  • To qualify for the discount, the customer's order must have a minimum subtotal of $150.

5. Commission Structure and Payment:

  • Commissions will be paid out on a monthly basis.
  • Commission rates will be provided separately to approved ambassadors.
  • Payments will be processed via [Payment Method, e.g., PayPal, bank transfer].
  • Ambassador is responsible for any taxes related to their commissions.

6. Trial Period and Minimum Sales Requirement:

  • The first 30 days of the Ambassador's participation in the Program will be considered a trial period.
  • To maintain active ambassador status after the trial period, Ambassadors must generate a minimum of $500 in customer sales per month, using their unique ambassador code.
  • Failure to meet the minimum sales requirement may result in termination of the Ambassador's participation in the Program.

7. Ambassador Conduct:

  • Ambassadors shall not engage in any misleading or deceptive advertising practices.
  • Ambassadors shall not violate any applicable laws or regulations.
  • Ambassadors shall not use spam or unsolicited email to promote the products.
  • Ambassadors will not represent themselves as employees of Prime Sciences LLC.
  • Ambassadors will not bid on branded keywords.

8. Termination:

  • Prime Sciences LLC reserves the right to terminate this Agreement at any time, with or without cause.
  • Ambassadors may terminate this Agreement by providing written notice to Prime Sciences LLC.
  • Termination will result in the loss of all future commissions.

9. Intellectual Property:

  • All trademarks, logos, and other intellectual property belonging to Prime Sciences LLC shall remain the sole property of Prime Sciences LLC.
  • Ambassadors are granted a limited, non-exclusive license to use such intellectual property for the sole purpose of promoting the products in accordance with this Agreement.

10. Limitation of Liability:

  • Prime Sciences LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with this Agreement.
  • Prime Sciences LLC's total liability will be limited to the total amount of commissions earned by the ambassador.

11. Commission and Discount Terms:

  • Ambassadors will receive a flat commission for each individual peptide unit sold. This commission applies exclusively to the sale of peptide products and will not be calculated based on the total order amount. No commission will be paid on shipping and handling fees, recon kits, or applicable taxes.
  • The 20% ambassador discount applies only to standard retail pricing and does not extend to site-wide discounts, promotions, or “Buy One, Get One” (BOGO) offers. However, commissions will still be paid on qualifying peptide sales during such promotions, based on the standard flat rate per unit.

12. Governing Law:

  • This Agreement shall be governed by and construed in accordance with the laws of Arizona.

13. Changes to Terms and Conditions:

  • Prime Sciences LLC reserves the right to modify these Terms and Conditions at any time.
  • Ambassadors will be notified of any changes.
  • Continued ambassador participation after changes are made constitutes acceptance of those changes.

14. Entire Agreement:

  • This agreement represents the entire agreement between both parties.
